TERMS OF SALES
1. CONCLUSION OF THE CONTRACT
Any order automatically entails the application of the general conditions of sale below notwithstanding any other clauses to the contrary. The sale is final after written confirmation from you and acceptance by credit insurance.
2. PRICE
The goods are invoiced at the price in effect on the day the order is placed. The general price is annexed to these conditions.
3. DELIVERY
All our sales and deliveries are deemed to be made ex cellar, even in the case of free shipping. The goods travel at the risk of the recipients who are responsible for formulating any reservations with the carrier and exercising any recourse.
4. DELIVERY TIMES
Delivery times are given for information purposes only, no delay in delivery may give rise to termination, damages or penalties, particularly in the event of force majeure, bad weather, strike, stoppage of transport and supplies, administrative decisions or other event. beyond our control. 5. RETURN
Any product return must be the subject of a formal agreement between Cellier LINGOT-MARTIN and the buyer.
6. GUARANTEES
SARL Le Cellier LINGOT-MARTIN will take the greatest care in the execution of the order and the quality of the products. Defects and damage resulting from storage, handling or transport are excluded from the warranty.
7. PAYMENT
Unless otherwise specified, invoices are payable to SARL LE CELLIER LINGOT-MARTIN from the delivery date. In the event of late payment, the seller will suspend all current orders. Any amount not paid by the due date appearing on the invoice automatically results in the application of a penalty of an amount equal to one and a half times the legal interest. Penalties will be payable upon simple request from SARL LE CELLIER LINGOT-MARTIN.
No discount is accepted for early payment.
7.1 SPECIAL CENTRAL PURCHASING CONDITIONS
Payment deadline 45 days from invoice date.
8. RESOLUTIONAL CLOSE
In the event of non-payment, forty-eight hours after a formal notice remains unsuccessful, the sale will be automatically terminated by LE CELLIER LINGOT-MARTIN who may request summary proceedings for the return of the products without prejudice and any other damages. The amounts remaining due for other deliveries will become immediately due if CELLIER LINGOT-MARTIN does not opt for the resolution of the corresponding orders.
9. RESERVATION OF OWNERSHIP
In derogation from articles 1138 and 1583 of the Civil Code, all our sales are made with a retention of title clause, in accordance with articles L621-122 to L624-16 of the Commercial Code (Amended Law of January 5, 1985). The merchandise remains the property of Cellier LINGOT-MARTIN until full payment of the price. The goods remain at the buyer's risk, even in the event of fortuitous events, third party acts or force majeure, until the price has actually been collected.
10. LEGAL JURISDICTION
Any dispute relating to the execution or interpretation of our contracts will fall under the exclusive jurisdiction of the commercial jurisdiction of BOURG EN BRESSE, even in the event of a warranty claim, connection or multiple defendants.
In accordance with the provisions of article 48 of the new Code of Civil Procedure. This clause is deemed accepted by the contracting parties.
